ConversionSuite Software License Agreement

License - KemeTECH Systems Inc. hereby grants to PURCHASER a perpetual, non-exclusive, nontransferable license to use the SOFTWARE PRODUCT on the specified serial numbered IBM AS/400 or IBM iSeries cpu(s).

Updates - KemeTECH Systems Inc. may from time to time update the SOFTWARE PRODUCT to correct errors or add enhancements.  PURCHASER will receive updates for a period of one year from date of purchase.  After one year from date of purchase, PURCHASER wil be notified and have the opportunity to renew maintenance service for the then current maintenance rate.

Warranty - KemeTECH Systems Inc. makes no warranty, either expressed or implied, with respect to the SOFTWARE PRODUCT, its merchantability or its fitness for any particular purpose.  The SOFTWARE PRODUCT and documentation are provided on an "AS IS" basis.

Liability - KemeTECH Systems Inc. will not be liable to PURCHASER for any special, consequential, indirect or similar damages, including any lost profits or lost data arising out of the use or inability to use the SOFTWARE PRODUCT.  In no case shall KemeTECH Systems Inc's liability exceed the fees paid by PURCHASER to KemeTECH Systems Inc.

This AGREEMENT represents the entire agreement between KemeTECH Systems Inc. and the PURCHASER and supersedes any and all prior agreements, written or oral, between the parties regarding the SOFTWARE PRODUCT.
